CORPORATE COUNSELING

We serve as outsourced general counsel for many of our clients, acting as primary contact for their legal needs, including corporate formation, corporate governance, onboarding (and offboarding) of employees and contractors, and negotiations with customers and suppliers. If we are unable to assist, we aim to connect our clients to someone who can, and will help ensure their needs are addressed effectively.

Fund formation & counseling

We serve as primary counsel for both on-shore and off-shore fund structures, representing fund managers investing in the US, Europe, China and elsewhere. We advise on a range of funds (venture capital, growth equity, funds of funds, hedge funds, etc.), from small angel funds to large institutionally-backed funds. We also frequently represent investors in funds.

MERGERS & ACQUISITIONS

We advise both buy-side and sell-side clients in a wide range of M&A transactions, from straightforward acqui-hires to the sale of a single business line to complex cross-border acquisitions. We also frequently represent stockholders in target companies.

Financings & Securities

We have extensive experience advising emerging growth companies and investors in a range of venture capital and debt financings. We work with our clients to complete hundreds of company financings every year, from early-stage convertible note rounds to growth-stage and later equity financings to secured and unsecured debt financings.

We advise companies in negotiating and structuring a range of commercial agreements, including sales and distribution agreements, IP licensing, IP development agreements, services agreements, strategic partnerships and joint ventures across a range of industries.

Cross-border transactions

We frequently advise on US legal matters for cross-border transactions, including reorganizations (e.g., to move the company to the US), financings, M&A, licensing, and agreements with cross-border subsidiaries. We advise with respect to US law for clients based all over the world.

In every transaction that we advise on, from corporate formation and reorganization to M&A to employee compensation to fund formation to financings, we help our clients navigate the US tax landscape with the aim of finding the most tax-efficient solution.
